Program: RODE LIFE Multi-Tier Affiliate Program (hereinafter “the RODE MAP” or “the Program”)
These Terms and Conditions (hereinafter “the Agreement”) constitute a legally binding contract between you (hereinafter “the Member”) and RODE Group, Inc. By registering for a free account and participating in the Program, the Member expressly agrees to be bound by the terms herein. Members are expressly directed to review this Agreement thoroughly prior to participation. For inquiries, contact the Company at support@rodelife.com.
1. DEFINITIONS
• 1.1 Active Member: An individual with a current, valid, and active free user account in the Program.
• 1.2 Free Account: A registered user account on the RODE LIFE platform that is free to create and free to use forever, subject to compliance with this Agreement.
• 1.3 Referral Network: The hierarchical structure of Members referred directly or indirectly by a Member across five tiers.
• 1.4 Program: The RODE LIFE Multi-Tier Affiliate Program (RODE MAP), a membership program wherein all participants are registered Members eligible to earn commissions and access benefits by referring new Members to create a free account.
• 1.5 Third-Party Commissions: Revenue received by the Company from third-party travel, ticket, or commerce providers resulting from Member transactions, from which Program commissions are funded.
• 1.6 Clawback: The reversal, deduction, or recovery of previously credited or paid commissions resulting from canceled, refunded, disputed, or charged-back transactions.
2. TERM OF AGREEMENT
• 2.1 This Agreement shall commence upon the Member’s successful registration and acceptance into the Program and shall continue until terminated pursuant to Section 8 hereunder.
3. ELIGIBILITY AND ACCOUNT SECURITY
• 3.1 To participate in the Program, the Member shall:
• (a) Be at least eighteen (18) years of age; and
• (b) Complete the registration process, creating a free account and providing accurate, complete, and current personal information.
• 3.2 The Company reserves the sole discretion to refuse or terminate participation or account access at any time without cause or notice.
• 3.3 Account Responsibility: Members are entirely responsible for maintaining the confidentiality of their account credentials, passwords, and security settings. The Member assumes full liability for all activities, transactions, and link generations that occur under their account. The Member agrees to notify the Company immediately of any unauthorized account use or security breach.
4. COMMISSION STRUCTURE (COMMISSIONS AND PAYOUTS)
• 4.1 The RODE MAP features a five-tier commission structure based on bookings, tickets, or purchases made by the Member or any member within their introduced downline up to five (5) tiers. These payouts are funded directly from the Third-Party Commissions received by the Company and are disbursed in USD. Access to earnings on each tier is strictly unlocked sequentially, requiring five (5) direct, personally introduced Active Members (Tier 1 referrals) per tier, up to a total of twenty-five (25) to unlock the full structure, as detailed below:
• (a) Tier 1: 25% of the Company’s received commission for bookings or purchases made by direct referrals (Requires a minimum of 5 personally introduced Active Members);
• (b) Tier 2: 10% of the Company’s received commission for bookings or purchases made by Tier 1 Members (Requires a minimum of 10 personally introduced Active Members);
• (c) Tier 3: 10% of the Company’s received commission for bookings or purchases made by Tier 2 Members (Requires a minimum of 15 personally introduced Active Members);
• (d) Tier 4: 5% of the Company’s received commission for bookings or purchases made by Tier 3 Members (Requires a minimum of 20 personally introduced Active Members);
• (e) Tier 5: 5% of the Company’s received commission for bookings or purchases made by Tier 4 Members (Requires a minimum of 25 personally introduced Active Members).
• 4.2 Members only unlock and retain access to commission tiers while maintaining the respective minimum number of personally introduced Active Members specified in Section 4.1. If a Member’s direct referral count falls below a tier’s required threshold, commissions for that specific tier and any deeper tiers will be suspended until the required referral volume is restored.
• 4.3 No limits apply to the total number of referrals or volume of transactions, subject to the tier access qualifications outlined in Sections 4.1 and 4.2.
• 4.4 Contingent on Vendor Payment: Commissions are strictly contingent upon the Company successfully receiving the corresponding cleared Third-Party Commission from the provider. If a booking or purchase is canceled, refunded, or rejected by thethird-party provider prior to payout, no commission shall be due or payable by the Company.
• 4.5 No Pyramid Scheme: The Program is not a pyramid scheme, with compensation derived strictly from genuine consumer transactions (bookings, tickets, and purchases) and funded by standard vendor marketing expenditures.
• 4.6 Retail Sales Requirement: For the avoidance of doubt, no commissions or compensations are paid for the mere act of referring or recruiting new Members to register for a Free Account. Payouts are strictly and exclusively generated by bona fide retail transactions (completed bookings and purchases) made by consumers using third-party vendor platforms via the tracking tools provided.
• 4.7 Mandatory Earnings Disclaimer:
EARNINGS DISCLAIMER: Figures regarding multi-tier income potential are for illustrative purposes only. Creating and using an account is free forever, and all program payouts are funded strictly by genuine retail transactions cleared through our third-party travel and service providers.
RODE LIFE does not guarantee financial success or recurring returns; actual earnings depend entirely on individual promotional efforts, active participation, and the growth of your referral network. RODE LIFE makes no promises, guarantees, or representations regarding potential income, and any examples provided in corporate marketing assets are purely educational. This program structure is built on physical sales, and it does not promise, represent, or guarantee passive or automated wealth.
5. MEMBER BENEFITS
• 5.1 Upon acceptance and account creation, the Member shall be entitled to:
• (a) Exclusive discounts on goods and services, including dining, retail, travel, and entertainment, provided by thousands of partnerships worldwide;
• (b) Preferential pricing on travel-related services, such as hotels, flights, cruises, car rentals, and theme parks, across more than 1,200,000 destinations;
• (c) Access to a growing portfolio of lifestyle benefits, including golf course bookings, concert and event tickets, and other experiential offerings;
• (d) Commissions for referring new Members and their subsequent platform purchases, subject to the qualifications in Section 4; and
• (e) Proprietary tools, including referral links, QR codes, digital business cards, marketing materials, and a real-time dashboard to track referrals and earnings.
• 5.2 Continuous Benefit Expansion: The Company operates on a model of continuous development. The Member acknowledges and agrees that the Company is constantly updating, expanding, and adding additional member benefits, features,and third-party integrations to the platform over time. The Company reserves the right to add, modify, or swap individual benefit categories at its sole discretion to enhance the platform ecosystem.
6. PAYMENT OF COMMISSIONS
• 6.1 Commissions shall be paid monthly via Stripe in USD, following the close of the month in which the corresponding Third-Party Commissions are cleared and received by the Company. Payouts are strictly contingent upon the Member successfully completing all identity verification, Know Your Customer (KYC), and anti-money laundering (AML) requirements mandated by Stripe and applicable financial regulators. The Company bears no liability for payouts delayed, blocked, or forfeited due to a Member’s failure to clear verification.
• 6.2 Minimum Withdrawal: A minimum withdrawal amount of $50 is required for any payout. If a Member’s total earned and cleared commission balance is below $50, the balance will automatically roll over to the subsequent month until the minimum $50 threshold is met.
• 6.3 Payments cover generated commissions across the five tiers, strictly subject to the tier access qualifications in Section 4 and the minimum payout requirements in Section 6.2.
• 6.4 Referral Network Adjustments: Account closure or sustained inactivity by a referred Member adjusts the Referral Network, with the downline advancing one tier, potentially increasing lower-tier commissions. However, downline compression will never extend commission obligations beyond the maximum five-tier payout depth set by the Company. If a referred Member’s account closure drops the sponsoring Member’s personal referral total below a qualification threshold, access to the corresponding commission tiers will be dynamically suspended until the requirement is met again.
• 6.5 The Company is entitled to adjust or reclaim commissions paid in error, due to tracking discrepancies, or due to fraud.
• 6.6 Cancellations, Refunds, and Clawbacks: If a purchase, ticket, or booking made within a Member’s downline is subsequently canceled, refunded, or subjected to a merchant chargeback after a commission has been disbursed, the corresponding Third-Party Commission will be revoked by the provider. In such events, the Company reserves the absolute right to claw back all associated multi- tier payouts. The Company may deduct these reversed amounts from the Member’s current pending balance, offset them against future earnings, or demand direct repayment from the Member. To mitigate high-value travel fraud, the Company reserves the explicit right to hold or delay the distribution of commissions derived from long-horizon bookings (such as flights or cruises booked months in advance) until the third-party provider confirms the travel event has been successfully completed and the risk of chargebacks has passed.
• 6.7 No earnings are guaranteed, and actual commissions may vary due to third- party vendor payment schedules, transaction cancellations, currency fluctuations, orother factors.
7. PROMOTION GUIDELINES
• 7.1 Members may promote their referral tools through lawful means, such as personal networks or social media.
• 7.2 Company-provided marketing materials shall be used exclusively for Program promotion.
• 7.3 Members shall be obligated to refrain from spamming, misrepresentation, or illegal activities, which constitute a material breach and grounds for termination.
• 7.4 Members are not required to sell products or services; their role is limited to sharing referral tools, with enrollment and transactions managed by the Company and its providers.
• 7.5 Prohibited Actions:
• (a) Modifying digital business cards (e.g., text, design, logos, links).
• (b) Using the Company’s logo or trademarks without written consent.
• (c) Representing oneself as a Company employee or implying a corporate partnership without consent.
• (d) Using or registering domain names containing “RODE LIFE” or variations without consent.
• Violations of Section 7.5 shall result in immediate termination and potential legal action.
• 7.6 Mandatory Affiliate Disclosures: When sharing referral tools, links, or promoting the platform online or publicly, Members are legally required to comply with consumer protection regulations, including the U.S. Federal Trade Commission (FTC) guidelines or equivalent regional consumer laws. Members must clearly and conspicuously disclose that they may earn a commission if a transaction is made through their link. Failure to include proper disclosures constitutes a material breach of this Agreement.
8. TERMINATION AND ACCOUNT CLOSURE
• 8.1 Members are entitled to terminate participation and close their account at any time by written notice to the Company.
• 8.2 Account closure by a referred Member permits commissions from remaining Active Members’ transactions, subject to the tier qualifications in Section 4.
• 8.3 Voluntarily deleting or forfeiting an account shall terminate participation and reassign the Referral Network to the next Active Member.
• 8.4 The Company is entitled to terminate participation and close user accounts immediately for material breaches, including violations of Sections 7.3, 7.5, 7.6, or18, fraud, or detrimental actions, as determined in its sole discretion pursuant to this Agreement.
9. BUSINESS DISCOUNT OFFERS
• 9.1 Members operating businesses are entitled to submit discount offers for the RODE LIFE platform, subject to Company approval.
• 9.2 Offers shall comply with Company guidelines, with no fees charged.
10. GLOBAL PARTICIPATION
• 10.1 Members are entitled to refer new Members from any jurisdiction where the Company operates, subject to applicable laws.
• 10.2 Commissions shall be calculated per Section 4.1 and paid in USD, per Section 6.1.
11. MEMBER STATUS
• 11.1 Members are independent contractors, not Company employees or agents.
• 11.2 Members shall be responsible for all taxes and liabilities arising from earnings, per applicable laws.
• 11.3 Tax Compliance: Members shall be obligated to comply with tax reporting obligations, including, where applicable, providing necessary documentation (e.g., IRS Form 1099 for U.S. Members or equivalent in other jurisdictions) to report commissions earned through the Program.
12. TOOLS AND SUPPORT
• 12.1 Company shall provide:
• (a) A real-time dashboard for tracking referrals, transactions, and commissions;
• (b) Marketing tools, including digital business cards; and
• (c) Ongoing support for Program efficacy.
13. COMPLIANCE WITH LAWS
• 13.1 Members shall be obligated to comply with all applicable laws, including, without limitation, advertising, taxation, consumer protection, and data protection laws.
14. DATA PROTECTION AND TRACKING CONSENT
• 14.1 The Company and Members shall be obligated to comply with applicable data protection laws, including, without limitation, the EU General Data Protection Regulation (GDPR) for EU residents and the California Consumer Privacy Act (CCPA) for California residents. Members shall not collect, store, or processpersonal data of referred Members beyond sharing referral tools, as enrollment and user profiles are managed by the Company.
• 14.2 Consent to Tracking: Because the calculation and payout of multi-tier commissions depend entirely on digital tracking data, cookies, and referral pixel attribution, Members explicitly consent to the use of these necessary tracking technologies by the Company and its affiliated third-party transaction networks.
• 14.3 Cross-Border Data Transfers: As the Company is headquartered in the United States, all data processed through the platform is transferred to and hosted on servers located in the US. By registering for an account and utilizing tracking links, international Members (including residents of the EU, UK, and Canada) explicitly consent to the cross-border transfer, storage, and processing of their personal and tracking data in the United States, where data protection laws may differ from those in their home jurisdiction.
15. LIMITATION OF LIABILITY AND DISCLAIMERS (THIRD-PARTY
SERVICES AND LIABILITY)
• 15.1 The Company shall not be liable under any circumstances for indirect, incidental, special, or consequential damages arising from Program participation.
• 15.2 The Program is provided “as is,” with no guarantee of earnings or availability.
• 15.3 Travel and Event Provider Disclaimer: The Company does not operate, manage, or control any of the airlines, hotels, cruise lines, car rental agencies, tour operators, golf courses, ticketing systems, or event venues featured on the platform.
All travel arrangements, bookings, ticket purchases, and fulfillments are contracts made strictly between the user and the respective third-party provider. The Company is not a registered travel agency, merchant of record, or event organizer, and assumes zero liability for flight cancellations, event postponements, venue restrictions, property conditions, personal injury, property damage, or any service failures originating from third-party travel, recreation, and entertainment vendors.
• 15.4 Mandatory Savings Disclaimer:
SAVINGS DISCLAIMER:: Travel, retail, and event discount metrics are based on comparative evaluations between private vendor-contracted rates and publicly available retail pricing. All provider rates, room inventories, and event seats are subject to real-time availability, dynamic market adjustments, and seasonal fluctuations. RODE LIFE makes no structural guarantee that specific discount margins will remain static across our global directory. The Company explicitly assumes no liability, responsibility, or financial obligation for situations where a third-party hotel, cruise line, or service provider alters its public pricing structures and reduces or modifies an individual member’s expected savings margin.
16. THIRD-PARTY CONTENT, TRANSACTIONS, AND MONETIZATION
• 16.1 Third-Party Transactions and Payments: The Company’s platform serves as a promotional and referral directory. The Company does not collect, process, or store payment information, nor does it accept direct payments for bookings, tickets, or purchases. All user transactions are completed directly on the platforms of third- party providers. Accordingly, the Company assumes no responsibility or liability for payment processing, billing errors, booking fulfillments, refunds, or customer service issues related to third-party purchases.
• 16.2 Third-Party Links: The Company’s platform may include third-party links. The Company does not verify or endorse such links and shall not be responsible for their content or transactions. Members assume sole responsibility for link safety.
• 16.3 Third-Party Commission Links: The platform includes third-party links, earning commissions for purchases which fund the Program commission payouts. Affiliated networks include Awin, Impact Radius, CJ Affiliate by Conversant, Partnerize, Rev Trax, Webgains, and Tradedoubler.

17. ERRORS AND OMISSIONS
• 17.1 Program Administration: The Company shall not be liable for errors in third- party reporting, referral tracking, tracking link failures, data drops by affiliate networks, commission calculations, or website functionality, unless caused by gross negligence or willful misconduct.
• 17.2 Reporting Errors: Members shall forthwith notify the Company of suspected errors. The Company is entitled to investigate and correct issues at its discretion.
18. ANTI-FRAUD RULES
• 18.1 Members shall not engage in fraudulent activities, including, without limitation, creating fake accounts, generating fraudulent bookings or transactions, misrepresenting Program benefits, manipulating tracking systems, or using automated referral methods.
• 18.2 Violations shall result in immediate termination, forfeiture of pending commissions, and potential legal action.
• 18.3 The Company is entitled to investigate fraud and withhold payments pending investigation.
19. FORCE MAJEURE
• 19.1 The Company shall not be liable for delays or failures in Program performance due to events beyond its control, including, without limitation, natural disasters, third-party network outages, system failures, or governmental actions.
20. AMENDMENTS
• 20.1 The Company is entitled to amend this Agreement at its discretion without notice. Continued participation constitutes acceptance of revised terms.
• 20.2 Members shall review the Terms of Service on the Company’s website (www.rodelife.com), as updates are binding upon their effective date.
• 20.3 The Company shall notify Members of material changes via email or website posting to the extent practicable.
• 20.4 Modifications to Program Mechanics: The Company reserves the absolute right to modify, alter, or restate the commission percentages, tier structures, unlocking thresholds, and payment minimums at any time to adapt to changes in third-party vendor payout rates or broader market conditions.
21. INDEMNIFICATION
• 21.1 Members shall indemnify and hold harmless the Company and its affiliates from claims, damages, or expenses arising from breaches of this Agreement or applicable laws pursuant to this Agreement.
22. CONFIDENTIALITY
• 22.1 Members shall not disclose proprietary Company information (e.g., backend referral data, marketing materials) without written consent, using such information solely for Program purposes.
23. GOVERNING LAW AND DISPUTE RESOLUTION
• 23.1 This Agreement shall be governed by the laws of Wyoming, USA, without regard to conflict of law principles.
• 23.2 Arbitration: Disputes shall be resolved by binding arbitration conducted by a single arbitrator under the American Arbitration Association’s Commercial Arbitration Rules in Sheridan, Wyoming, in English, with the arbitrator’s award being final and non-appealable. Each party shall bear its own costs, subject to the arbitrator’s discretion to allocate costs.
• 23.3 Court Jurisdiction: If arbitration is unenforceable or for injunctive relief, actions shall be filed exclusively in state or federal courts in Sheridan, Wyoming.
• 23.4 Each party shall bear its own arbitration or litigation costs, unless otherwise determined by the arbitrator or court.
• 23.5 Class Action Waiver: To the fullest extent permitted by applicable law, all dispute resolution proceedings, whether in arbitration or court, will be conducted solely on an individual basis and not in a class, consolidated, or representative action. The Member expressly waives any right to bring or participate in a class- action lawsuit or class-wide arbitration against the Company.
• 23.6 European Union Online Dispute Resolution (ODR): Notwithstanding the arbitration requirements herein, if you are a consumer residing in the EuropeanUnion, the European Commission provides an online platform for alternative dispute resolution. You may access this platform to resolve consumer disputes externally at: https://ec.europa.eu/consumers/odr.
24. SEVERABILITY
• 24.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
25. ENTIRE AGREEMENT
• 25.1 This Agreement constitutes the entire understanding between the Member and the Company, superseding all prior agreements, communications, or under standings, whether written or oral, regarding the Program.
